Abstract

[eng] Much of the franchising literature has been concerned with the incentive mechanisms used in franchise contracting. Two main categories of incentive mechanisms have been identified : residual claimancy rights and ongoing rents. In this article, we describe these two incentive mechanisms, and their use in franchise contracts. We then argue that these two types of mechanisms, though usually considered substitutes in that they are both meant to align franchisee and franchisor incentives, are in fact complementary because they are used to resolve different types of incentive issues. We explore also how specific terms found in franchise contracts support the incentive mechanisms described here. Finally we extend our analysis to non-franchised systems with common marks or reputational concerns. [fre] La grande majorité des travaux sur les contrats de franchise s'intéresse aux mécanismes d'incitation contenus dans ces contrats. Deux principaux mécanismes d'incitation du franchisé ont été identifiés : le statut de créancier résiduel et rétablissement de flux de rentes. Dans cet article, nous décrivons ces deux mécanismes et discutons leur utilisation dans les contrats de franchise. Nous présentons ensuite une thèse voulant que ces mécanismes, quoique typiquement considérés comme substituts, sont en fait complémentaires puisqu'ils sont utilisés pour résoudre des problèmes d'incitation différents. Nous explorons aussi comment certaines clauses spécifiques des contrats de franchise servent à supporter les mécanismes incitatifs décrits ici. Finalement, nous élargissons notre domaine d'analyse pour considérer l'utilisation de mécanismes incitatifs dans les systèmes de marque ou de réputation collective non franchisés.
