Tvrtka društva

Abstract

U ovom preglednom èlanku obraðuje se tvrtka trgovaèkog društva te se pojašnjava pojam, znaèenje i uloga tvrtke trgovaèkog društva u pravnom prometu. Pored toga, prezentira se naèin nastanka tvrtke i njezini sastojci, naèela i uporaba kao i naèini prijenosa i zaštite tvrtke. Iako je tvrtka u stvari ime pod kojim društvo posluje i pod kojim sudjeluje u pravnom prometu, èesto se ta rijeè koristi i na pravno neispravan naèin i obièno se rabi kao sinonim za rijeè poduzeæe (engl. company), a ne za njegovog nositelja. Upravo zbog uklanjanja nejasnoæa autor se strogo drži odredaba 20-ak èlanaka važeæeg Zakona o trgovaèkim društvima, kao jedinog zakona kojim se to podruèje sustavno ureðuje, a uz njihov komentar prikazuje i meritornu sudsku praksu.
