Abstract

Бизнес комбинациите са свързани с обединяването на отделни предприятия в една стопанска единица под някаква форма. Бизнес комбинацията придобиване на разграничими нетни активи, при която придобитото предприятие обикновенопрекратява юридическата си самостоятелност, т. е. става част от придобиващото го предприятие, ораждапреобразуване. Вторият вид бизнес комбинация – придобиване на капитала на друго предприятие, при която придобитото запазва юридическата си самостоятелност и се превръща в дъщерно, а придобиващото става предприятие майка по отношение на придобитото, поражда консолидация. Това придобиване може да се извърши по два модела: чрез придобиване на 100 % от капитала на дъщерното предприятие и чрез придобиване на част от капитала на придобитото предприятие, която осигурява контрол на придобиващото, при наличие на малцинствено участие.Предприятието, което е инвестирало капитал в дъщерното предприятие, предоставя полезна информация на управлението относно резултатите и перспективността на инвестицията, посредством консолидираните финансови отчети на икономическата група.
