No-Poaching Clauses in Italian Franchise Agreements: Initial Findings

Abstract

Nel 2017, a seguito di un articolo di Krueger e Ashenfelter, il tema delle clausole di no-poaching nella ristorazione veloce è salito al centro del dibattito antitrust statunitense. Da allora diversi articoli hanno stimato un effetto negativo significativo delle clausole di no-poaching sui salari. Il dibattito su tali clausole deve ancora raggiungere l’UE, principalmente a causa della mancanza di prove della loro esistenza. Un accesso civico ha consentito di acquisire sette contratti di franchising italiani di un grande franchisor internazionale nella ristorazione veloce, sei dei quali includono clausole di no-poaching. Il contributo discute le caratteristiche principali dei contratti acquisiti, e analizza le differenze tra Europa e Stati Uniti nella giurisprudenza in materia e nei mercati del lavoro. Rimuovere tali clausole sarebbe più vantaggioso in Europa di quanto non lo sia negli Stati Uniti, e il contributo propone tre modi per avviare tale processo.
