Die Notwendigkeit statutarischer Kreditbeschränkungen in der eingetragenen Genossenschaft

Abstract

Nach § 49 GenG hat die Generalversammlung einer eingetragenen Genossenschaft die Beschränkungen festzusetzen, welche bei der Gewährung von Kredit an den einzelnen Schuldner eingehalten werden sollen. Nach derzeit herrschender Meinung entscheidet die Generalversammlung hierüber durch einfachen Beschluss; Kreditbeschränkungen sollen insbesondere keiner Aufnahme in das Statut bedürfen. Der nachfolgende Beitrag unterzieht diese herrschende Meinung einer kritischen Prüfung und kommt zu dem Ergebnis, dass nur statutarische Kreditbeschränkungen den Vorstand binden können.
