Shareholder Activism in der Finanzbranche aus der Perspektive des Aufsichtsrechts

Abstract

Während Shareholder Activism bei Unternehmen der Realwirtschaft bereits Gegenstand eines breiten rechtswissenschaftlichen Diskurses ist, blieb die Betrachtung von Kreditinstituten als Ziel aktivistischer Aktionäre bislang unterentwickelt. Aktuelle aktivistische Kampagnen in der Finanzbranche bieten indes Anlass, diesen Aspekt näher zu untersuchen. Der folgende Beitrag betrachtet anhand von Beispielen den Einfluss aktivistischer Aktionäre auf Kreditinstitute, erörtert den Zusammenhang zwischen Shareholder Activism und der Finanzstabilität und beleuchtet und bewertet abschließend aufsichtsrechtliche Schutzmaßnahmen.
