Abstract

Economic analysis of legal issues is often strongly oriented towards the effects of a substantive rule or the distributive outcome of a legal dispute. This does not do justice to the object of analysis, since the way to generate such substantive results is an essential part of the law. Interdisciplinary research must therefore look into procedures, forms and the enforcement of rules as much as into substantive rules. The (largely neglected) mechanisms of private law (as opposed to public law) are particularly interesting for the order of the economy: Private law institutions work in a similar way as markets. If the inherent rationalities of (procedural) law are respected, some of which are presented in the paper, economic research can contribute to central legal policy debates, such as those on the duration of proceedings, access to justice or charging private law mechanisms with regulatory aims.
