L'objectif de cet article est de faire une synthèse des théories explicatives du conseil d'administration au sein du paradigme de l'efficience. Il oppose en particulier les théories contractuelles (financière et partenariale) du conseil d'administration pour lesquelles l'objectif du conseil d'administration est de discipliner les dirigeants aux théories stratégiques pour lesquelles le conseil constitue un instrument cognitif aidant à la création de compétences.
