Abstract

[eng] International Securitisation Transactions : Legal issues. Nowadays, many corporate groups implement « pan-european » or « international » securitisations, which incorporate, in a single programme, the transfer of receivables or other assets relating to the business of the companies in the group and located in different countries. The aim of such transactions is to reconcile and optimise the laws of each country involved, in the best interests of the group concerned. During this process, the legal analysis is critical given the numerous alternatives. Knowledge of the local laws and of international market practice is necessary in order to determine the most appropriate legal structure and the country of incorporation of the securitisation vehicle. . JEL Classification : G19 [fre] Nombreux sont aujourd'hui les groupes de sociétés qui ont recours à des opérations de titrisation dites « pan européennes » ou « internationales » qui consistent à inclure dans un même programme la cession de créances ou autres actifs se rapportant aux activités conduites par les sociétés du groupe dans différents pays. De telles opérations consistent à concilier et optimiser, au mieux des intérêts du groupe concerné, les règles propres à chaque pays impliqué. À cette occasion, l'analyse juridique est particulièrement délicate, tant les alternatives offertes sont multiples. La connaissance des réglementations locales et de l'environnement international permet de déterminer la structure juridique la plus efficace et de choisir la forme et la localisation du véhicule de titrisation les plus efficaces. .
